Terms of Service
1. Definitions
- "WestHub", "we", "us", "our" — West Networks, LLC, a Florida limited liability company.
- "Service" — the WestHub web application, mobile applications, APIs, and any other software or features we provide under the WestHub brand.
- "Customer" — the organization (or individual, where applicable) that subscribes to the Service.
- "User" — any individual who uses the Service, whether an employee, contractor, or guest of a Customer.
- "Customer Content" — data, documents, messages, recordings, contacts, and any other material a Customer or User submits, uploads, transmits, or stores in the Service.
2. Eligibility and accounts
You must be at least 13 years old (16 in the EEA) to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Each User is responsible for keeping their credentials confidential and for all activity under their account. Notify us at security@westhub.app if you suspect your account has been compromised.
3. The Service
WestHub provides a multi-tenant business platform that may include CRM, mail, voice and video communications, document and spreadsheet editing, presentation tools, notebook and project management, support ticketing, and integrations with third-party services. Specific features available to a Customer depend on the Customer's plan and configuration.
We may add, remove, or change features from time to time. We will give reasonable notice for material changes that affect a Customer's existing usage. We may suspend or terminate any feature or the Service itself for security reasons, legal reasons, or as required to maintain reliability.
4. Customer Content
4.1 Ownership
As between you and WestHub, the Customer owns all Customer Content. We do not claim ownership of your documents, your contacts, your call recordings, or anything else you put into the Service.
4.2 License to operate the Service
You grant WestHub a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, and modify Customer Content solely as necessary to provide and improve the Service to you. This license terminates when you delete the content or when your account is closed and the retention period expires.
4.3 Responsibility
You are responsible for the accuracy, legality, and appropriateness of Customer Content. You represent that you have the rights necessary to upload Customer Content and that doing so does not violate any law or third-party rights. WestHub is not responsible for the content of your documents, your communications, or any decisions you make based on AI-derived outputs.
4.4 AI-derived outputs
Some Service features use artificial intelligence to derive new content from your inputs (for example, summarizing a call transcript, extracting action items, drafting a quote, or proposing a reply). These outputs are predictions and may be incorrect. You are responsible for reviewing AI-derived outputs before relying on them. We do not guarantee accuracy.
5. Acceptable use
You must not, and must not allow your Users to:
- Use the Service to violate any law, regulation, or third-party right
- Distribute malware, conduct denial-of-service attacks, or attempt to circumvent our security
- Reverse engineer, scrape, or copy the Service except as expressly permitted
- Use the Service to send unsolicited bulk email or other spam
- Record any communication in violation of applicable wiretapping or call-recording laws
- Process Protected Health Information without an executed BAA with WestHub
- Process payment card data outside the scope of our PCI-compliant payment integration
- Resell or sublicense the Service without our written consent

6. Subscriptions, fees, and billing
If your access to the Service is paid, fees, billing frequency, and applicable taxes are set out in the order form, online checkout, or quote you accepted. Unless otherwise stated:
- Fees are billed in advance and are non-refundable except where required by law.
- Late payments accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.
- You are responsible for any taxes other than taxes on our net income.
- We may suspend the Service for non-payment after reasonable notice.
- If you exceed plan limits (storage, seats, voice minutes, AI usage), we may bill overage at our then-current rates.
7. Term and termination
These Terms remain in effect while you use the Service. Either party may terminate as follows:
- By you, for convenience. Cancel from your account settings or by emailing legal@westhub.app. Pre-paid fees are not refunded except as required by law.
- By us, for cause. Immediately if you breach these Terms, the Acceptable Use Policy, or if continuing the Service exposes us to legal risk. We will give you reasonable notice and an opportunity to cure where the breach is curable and not a security or legal emergency.
- By either party, for material breach. 30 days written notice, with opportunity to cure during the notice period.
On termination, your access ends. We will keep your Customer Content available for export for at least 30 days, then delete it within the retention windows described in our Privacy Policy, except where a legal hold applies.
8. Confidentiality
Each party will treat the other's non-public information as confidential, use it only to perform under these Terms, and protect it with at least reasonable care. Confidentiality obligations survive termination for three years (indefinitely for trade secrets).
9. Intellectual property
WestHub and its licensors own all rights in the Service, including the software, brand, designs, trademarks, and documentation. Nothing in these Terms transfers any of those rights to you. You may use our trademarks only as set out in our brand guidelines and only with our written consent.
Feedback you give us about the Service is owned by us and may be used without restriction.
10. Privacy and security
Your privacy and our security commitments are described in our Privacy Policy, our Data Processing Addendum, and our security overview. By using the Service you agree to those documents.
11. Third-party services and integrations
The Service may integrate with third-party services (Twilio, Anthropic, Deepgram, Stripe, Plaid, Zoho, WooCommerce, Peplink, Microsoft, Google, Apple, and others). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third parties or for the availability of their services.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-DERIVED OUTPUTS WILL BE ACCURATE OR FIT FOR ANY PARTICULAR PURPOSE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON CERTAIN DAMAGES; IN THOSE JURISDICTIONS, THE LIMITATIONS APPLY TO THE EXTENT PERMITTED.
14. Indemnification
You will defend, indemnify, and hold harmless West Networks, LLC and its affiliates, officers, directors, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) your or your Users' Customer Content, (b) your violation of these Terms, the Acceptable Use Policy, or any law, or (c) your infringement of any third-party right.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Alachua County, Florida, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial. Each party also waives the right to participate in any class or representative action.
16. Changes
We may update these Terms from time to time. The "Effective date" at the top of the page reflects the most recent update. We will notify Customers of material changes by email or in-product notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
17. General
- Entire agreement. These Terms, the Privacy Policy, the DPA, and any order forms or written agreements between us are the entire agreement between us regarding the Service.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
- No waiver. A failure to enforce any right is not a waiver.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. Notices to us must be sent to legal@westhub.app. Notices to you may be sent to your account email or posted in the Service.
- Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
